  • Clarifying that the seller keeps cash, A/R, and prepaid deposits, resulting in approximately $200,000.
  • Limiting the seller’s representations and warranties to only their knowledge.
  • Limiting the life of the representations and warranties to only 12 months instead of forever as it was written.
  • Including representations and warranties for the buyer.
  • Reducing the seller’s cost of a phase II by 50% or approximately $15,000.
  • Eliminating the potential for seller financing as explicitly mentioned by the seller they did not want to do.

 

After the purchase contract was executed, a challenge emerged during due diligence when the buyer obtained a roof inspection estimating nearly $40,000 in replacement costs. Meridian advised the seller to request formal documentation supporting the findings. When the buyer could not produce an inspection identifying structural defects, Meridian recommended obtaining an independent roofing inspection and competitive bid. The second opinion concluded that only minor repairs totaling approximately $4,000 were necessary, saving the seller roughly $36,000 and keeping the transaction on track.

 

 

From engagement to closing, the transaction was completed in approximately six months. Meridian’s value to this transaction totaled: $300,000 + $150,000 + $200,000 + $15,000 + $36,000 = $701,000. And you cannot put a dollar amount on the seller’s peace of mind knowing that the representations and warranties will not last until the day they die.
